Club Constitution
Constitution of the Plymouth & District Photography Club.
1. The Club shall be known as the ‘Plymouth & District Photography Club’.
2. The object of the Club shall be the furtherance of the Photographic Art and Technique by exchanging
Friendly ideas and mutual assistance among members, as well as organising and holding demonstrations,
Competitions ect, and inviting speakers.
3. Membership of the Club shall be open to any person interested in, or practising photography as an
amateur or professional, who agrees to actively support the Club’s objectives. Membership of the Club
implies an undertaking to comply and abide by the rules set out here.
4. Subscriptions shall be such amounts as are from time to time determined by the Annual General Meeting
(AGM) or Extraordinary General Meeting (EGM). Subscriptions become due at the commencement of each
Season, the first week of September.
5. Members joining on or after 31st January shall pay half the current subscription.
6. Each year, each member will be given a membership number on paying their subscription and in due
course a membership card issued. Members should have their membership cards available for
administrative purposes at each meeting. Members are requested to wear their name badges at each
meeting.
7. (i) The affairs of the Club shall be managed by a Committee consisting of :
Chairperson Vice Chairperson Secretary Treasurer
Competition Secretary Event Organiser and Planner
and three additional general co-opted Club members with non-specific roles.
(ii) Newly elected Officers will commence their new roles immediately after election.
(iii) When an Officer retires or is not re-elected, all relevant administration material must be handed to
Their successor in its entirety within 14 days.
(iv) A minimum of five committee members must be present to constitute a quorum at a committee
meeting.
(v) All minutes, reports, paperwork, accounts and records relating to any Club activity shall be retained
for six years, either electronically generated or as a hard copy as appropriate.
8. (i) The Annual General Meeting (AGM) shall take place during the month of May each year depending on
planned programme activities.
Business shall include: Minutes of previous AGM
Annual report from officers
Statement of accounts and balance sheets
Election of officers and committee
Motions put to AGM by members and the voting on those motions.
(ii) Any requests for items to be discussed in Any Other Business must be given in writing to the
Secretary a clear fourteen days before the date of the AGM. Any requests for additions will not be
accepted after the fourteen day period.
(iii) The Accounts of the Club shall have been audited by an independent auditor or accountant prior to
the AGM each year and presented in a conventional manner.
9. All committee members shall be eligible for re-election
10. Only full members can be elected to the committee, non members cannot stand or vote for any
Committee position, or on any constitutional changes.
11. An Extraordinary General Meeting (EGM) can be called at any time by the committee, or on receipt of a
requisition signed by not less than one quarter of the members.
12. Fourteen days notice must be given to all members of any AGM or EGM with particulars of business to be
transacted thereat. No business other than that appearing on the notice shall take place at the said
meeting.
13. A copy of the Club Constitution shall be supplied to every member.
14. No alteration to the Constitution shall be made except at an AGM of EGM where a motion to change a
rule is voted and carried
15. A motion will be deemed to be carried if a majority of members are in favour of it.
16. Motions for the AGM or EGM should be given to the secretary in writing or by e mail not less than seven
days before the meeting.
17. Motions carried will be operative forthwith.
18. In the event of anything occurring not provided for, or not clear in the foregoing rules, the committee
shall have the power to deal with the same at their discretion.
19. The Club may be dissolved only by the consent of three quarters of the members present at the EGM
called for that purpose. Such a meeting shall appoint a Liquidator or Accountant who will decide on the
disposal of the Club’s funds and assets.
20. (i) Members shall respect the views and comments of other members in a courteous and constructive
way.
(ii) All postings on any social media and electronic communications shall be responsible, courteous and
respectful.
(III) Individuals expressing personal views on Club matters or Club members must state that they are
personal views and not the views of the Club and Committee.
(iv) Members bringing the name of the Club into disrepute will be warned in writing that further such
activity will result in the loss of Club membership and banishment from all Club activities.
21. Members shall at all times be courteous and responsive towards all visitors and guests who are invited to
speak and present their work to the club, to hosts of location shoots and to the general public.
